Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Casa Wisdom LLC ("Casa Wisdom," "we," "our," or "us"), a digital agency based in Orlando, Florida. By accessing our website at casawisdom.org or engaging our services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our website or services.

Services

Casa Wisdom provides digital agency services including, but not limited to:

• Web design and development
• Brand identity and strategy
• Search engine optimization (SEO)
• Digital marketing and paid advertising
• Business automation and CRM implementation
• E-commerce development (Shopify)

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work ("SOW") executed between Casa Wisdom and the client prior to commencement of work.

Service Agreements & Contracts

All client engagements are governed by a signed Service Agreement. The Service Agreement, together with any SOW, constitutes the complete agreement between the parties regarding the specific services and supersedes any prior negotiations or representations.

Casa Wisdom reserves the right to decline any project at its sole discretion.

Intellectual Property

Client-Owned Assets: Upon receipt of full payment, Casa Wisdom assigns to the client all rights, title, and interest in the final deliverables specifically created for that client, including custom designs, code, and written content, to the extent such assignment is legally permissible.

Casa Wisdom-Owned Assets: Casa Wisdom retains ownership of all underlying frameworks, tools, methodologies, processes, pre-existing code libraries, and general know-how used in producing deliverables. Nothing in these Terms transfers ownership of Casa Wisdom's proprietary systems or intellectual property.

Third-Party Assets: Fonts, stock imagery, plugins, themes, and other third-party assets used in a project remain subject to their respective licenses. The client is responsible for obtaining any required licenses for continued use of such assets.

Portfolio Use: Casa Wisdom reserves the right to display completed work in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing prior to project completion.

Client Responsibilities

The client agrees to:

• Provide accurate and complete information necessary for Casa Wisdom to perform the services
• Respond to requests for feedback, approvals, and content within agreed timelines
• Ensure all materials provided to Casa Wisdom (text, images, logos) do not infringe third-party rights
• Obtain and maintain all necessary licenses, permits, and authorizations for their business
• Make timely payments as specified in the Service Agreement

Delays caused by the client's failure to fulfill these responsibilities may result in revised timelines and additional fees.

Revisions & Change Orders

The number of included revisions is specified in each Service Agreement or SOW. Requests for changes outside the agreed scope, or exceeding the included revision rounds, will be quoted and invoiced as change orders at Casa Wisdom's then-current hourly rate.

Limitation of Liability

Casa Wisdom's total cumulative liability to any client for any and all claims arising from or related to a specific project shall not exceed the total fees paid by that client for that specific project in the twelve (12) months preceding the claim.

Casa Wisdom does not guarantee specific results from SEO, advertising, or marketing services, as outcomes depend on factors beyond our control including algorithm changes, market conditions, and client participation.

Warranties & Disclaimers

Casa Wisdom warrants that services will be performed in a professional manner consistent with industry standards. We do not warrant that:

• Our website will be uninterrupted, error-free, or free of viruses
• Results from SEO or marketing campaigns will meet specific targets
• Third-party platforms (Shopify, Google, Meta, etc.) will maintain their current features or policies

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. Casa Wisdom will not disclose client business information, strategies, or data to third parties without written consent, except as required by law or as necessary to perform the services (e.g., sharing access with sub-contractors under NDA).

Termination

Either party may terminate a Service Agreement with 30 days written notice. Upon termination:

• The client shall pay for all work completed through the termination date
• Deposits are non-refundable unless Casa Wisdom terminates without cause
• Casa Wisdom will deliver all completed work product upon receipt of final payment
• Each party will return or destroy confidential information of the other party

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties.

If negotiation fails, disputes shall be resolved by binding arbitration in Orange County, Florida, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes take effect upon posting to this page. Your continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. For active client agreements, material changes will be communicated directly.
